There should never be a Board of Directors. Non-profit, for-profit, doesn't matter, they are incapable of making good decisions. The Board of Directors is not involved at all with the day-to-day operations of the company. They do none of the work. They just have opinions. And a person with opinions not doing work is completely useless, as the Board of Directors have proven to us time and time again. Abolish Boards of Directors.
